is the Legal team responsible for?The Legal team provides practical
legal advice and service to the broader organization. Reviews and
analyzes the laws and regulations of the jurisdictions in which
Franklin Templeton operates. Interprets these in light of guidance,
decisions, law firm advice and industry practice, as applicable, to
the specific structure, organization and operation of Franklin
Templeton's business globally. Advises business on actions required
to comply with legal and regulatory obligations and contributes to
decisions made by the business on appropriate course of action to
minimize risk from financial or reputational loss. The successful
applicant will provide advice and counseling on Franklin
Templeton's US-registered funds, including closed-end funds, and
negotiate investment management agreements with institutional
clients.What are the ongoing responsibilities of a Junior
Attorney/Assistant Corporate Counsel?
- Drafting and reviewing fund registration statements,
shareholder reports, marketing and related materials to ensure
compliance with applicable disclosure, legal and regulatory
standards
- Drafting and reviewing fund proxy materials to ensure
compliance with applicable disclosure, legal and regulatory
standards
- Compliance with NYSE requirements, as applicable
- Drafting memoranda for fund boards of directors/trustees
- Provide legal support for institutional separate accounts
- Special projects as assigned by senior attorneys and/or
requested by business clientsWhat ideal qualifications, skills and
experience would help someone to be successful?
- Law degree; membership of a state bar; at least two years'
experience in securities law practice or equivalent experience;
investment management practice preferred
- Knowledge of, and experience in, the Investment Company Act of
1940, Investment Advisers Act of 1940, Securities Act of 1933 and
the Securities Exchange Act of 1934
- Knowledge of, and experience in, mutual fund/asset management
industry, or at least financial services generally
- Knowledge of NYSE, federal proxy rules, Section 16 and Section
13 requirements and processes a plus
- Excellent verbal and written communication skills with a high
degree of attention to detail
- Ability to multi-task and prioritize in a fast-paced global
environmentCompensation Range: Along with base compensation, other
compensation is offered such as a discretionary bonus, 401k plan,
health insurance, and other perks. There are several factors taken
into consideration in making compensation decisions including but
not limited to location, job-related knowledge, skills, and
experience. At Franklin Templeton, we apply a total reward
philosophy where all aspects of compensation and benefits are taken
into consideration in determining compensation. We expect the
salary for this position to range between $130,000 -
